1. Agreement to Terms

These Terms of Service (“Terms”) govern your use of Caviti.ai's AI-powered dental supply management platform (the “Service”) operated by Caviti.ai (“we,” “us,” or “our”).

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

2. Description of Service

Caviti.ai provides an AI-powered supply chain management platform specifically designed for dental practices. Our Service includes:

• Inventory tracking and management
• AI-driven supply predictions and recommendations
• Automated ordering capabilities
• Analytics and reporting tools
• Integration with practice management systems

3. Account Registration

To use our Service, you must:

• Be at least 18 years old
• Be a licensed dental professional or authorized representative of a dental practice
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

4. Acceptable Use Policy

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Transmit viruses, malware, or other harmful code
• Use automated systems or software to extract data from the Service
• Impersonate another person or entity
• Share your account credentials with unauthorized users

5. Subscription and Payment

Billing

• Subscription fees are billed monthly or annually in advance
• All fees are non-refundable except as required by law
• We may change our fees with 30 days notice
• You are responsible for all applicable taxes

Auto-Renewal

Your subscription will automatically renew unless you cancel it before the renewal date. You can cancel your subscription at any time through your account settings.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Caviti.ai. The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used without our prior written consent.

You retain ownership of any data you submit to the Service. By using the Service, you grant us a license to use, process, and store your data solely to provide the Service to you.

7. Privacy and Data Protection

Your use of our Service is also governed by our Privacy Policy. We are committed to protecting your data and maintaining HIPAA compliance for any Protected Health Information (PHI) processed through our Service.

We will enter into Business Associate Agreements (BAAs) with covered entities as required by HIPAA.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free. The AI predictions and recommendations are provided for informational purposes and should not replace professional judgment.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAVITI.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

Our total liability to you for any damages shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Caviti.ai, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which should reasonably survive termination shall survive.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the changes constitutes acceptance of the new Terms.
